Welcome to Sale by Dale. Throughout this document, "we," "us," and "our" refer to BERUDO GROUP SPAIN S.L., trading as Sale by Dale. We operate this online store together with all connected content, features, tools, products and services so that you — our customer — can shop for air conditioning and home cooling products through a curated experience (the "Services"). Sale by Dale runs on Shopify, and it is Shopify's platform that makes it possible for us to deliver the Services to you.

The terms and conditions set out below, along with any policy we link to from within them (together, the "Terms of Service" or "Terms"), explain what you can expect from us and what we expect from you when you use the Services.

Please take the time to read these Terms carefully. Among other things, they cover important topics such as warranty disclaimers and the limits of our liability.

Whenever you visit, browse, interact with or buy from the Services, you are agreeing to these Terms of Service and to our Privacy Policy. If you are not willing to accept them, please do not use or access the Services.

SECTION 1 – ACCESS AND ACCOUNT

By accepting these Terms, you confirm that you have reached the age of majority in the state where you live, and that you consent to any minors in your care using the Services on devices you own or control.

To place an order or otherwise use the Services, we may ask you for details such as your email address and your billing, payment and shipping information. You confirm that everything you share with us is accurate, up to date and complete, and that you are entitled to provide it.

Keeping your account login details safe is your responsibility, and you are accountable for everything that happens under your account. Accounts may not be sold, transferred, licensed or handed over to anyone else.

SECTION 2 – OUR PRODUCTS

We work hard to show our air conditioners and related products as accurately as we can. Even so, the color, finish or overall look of an item may vary slightly from what you see on screen, since this depends on the device you are using and how its display is set up.

We cannot promise that the look, feel or performance of any product will match your personal expectations exactly, or that it will appear identical to the images shown in the store.

Product descriptions may be revised at any moment, at our discretion and without advance notice. We also reserve the right to retire any product, and to cap the quantity of any item we make available to a given customer, region or jurisdiction, deciding this case by case.

SECTION 3 – ORDERS

Placing an order is an offer from you to buy. Sale by Dale may accept or turn down that offer for any reason. An order only becomes binding once we confirm we have accepted it, and we need to receive and process your payment before that happens. Because we may not be able to change or cancel an order once it has been accepted, please check it over carefully before you submit it. If we decline, adjust or cancel an order, we will try to reach you using the email address, billing address or phone number you supplied when ordering.

Returns and exchanges are handled only as described in our Refund Policy.

You confirm that anything you buy is for your own personal or household use, and not for commercial resale or export.

SECTION 4 – PRICES AND BILLING

Prices, discounts and promotions can change at any time without notice. The amount you pay is the price shown when your order is placed, and it will appear on your order confirmation email. Unless we clearly say otherwise, listed prices do not include taxes, shipping, handling, or any customs or import charges.

Prices in this store may differ from those offered elsewhere, including through other retailers. From time to time we may run promotions that affect pricing; those promotions come with their own terms, and where those terms clash with these Terms, the promotion's terms take priority.

You agree to keep your purchase, payment and account information current, complete and correct, and to update details such as your email address or card expiry promptly so we can process your orders and stay in touch.

You also confirm that (i) the card details you give us are true and complete, (ii) you are authorized to use that card, (iii) your card issuer will honor the charges, and (iv) you will pay the full amount due at the listed prices, including shipping, handling and any applicable taxes.

SECTION 5 – SHIPPING AND DELIVERY

Because air conditioning units are larger and heavier than many products, delivery may involve standard parcel carriers or freight depending on the item and your address. All delivery windows are estimates only and are not guaranteed, and we are not responsible for delays caused by carriers, weather, or other events beyond our control. Once we hand a product to the carrier, ownership and the risk of loss pass to you. Full details are in our Shipping Policy.

SECTION 6 – INTELLECTUAL PROPERTY

The Services — including all trademarks, brand elements, text, layouts, images, graphics, product reviews, video and audio, and the way these are chosen and arranged — belong to Sale by Dale, its affiliates or its licensors, and are protected by U.S. and international copyright, trademark and other intellectual property laws.

These Terms let you use the Services only for your own personal, non-commercial purposes. You may not copy, distribute, alter, create derivative works from, publicly display or perform, republish, download, store or transmit any of our material without our written permission first. Nothing here should be read as granting you any license or rights under any patent, trademark or copyright belonging to Sale by Dale, Shopify or any third party, except as expressly stated. Using the Services without authorization may breach intellectual property law. Any rights we have not clearly granted remain ours.

The Sale by Dale name, logo and any related product names, designs and slogans are trademarks of Sale by Dale or its affiliates or licensors, and may not be used without our written consent. Shopify's name, logo and marks belong to Shopify. Every other name, logo or mark appearing in the Services belongs to its respective owner.

SECTION 7 – OPTIONAL TOOLS

You may be given access to third-party tools through the Services that we do not monitor and have no control over.

Any such tools are provided "as is" and "as available," with no warranties, representations or endorsements of any kind, and we accept no liability arising from your use of them. Using these optional tools is entirely at your own risk, so please make sure you are comfortable with the relevant provider's own terms before relying on them.

We may add new features or resources to the Services in the future. Those additions will also count as part of the Services and will be covered by these Terms.

SECTION 8 – THIRD-PARTY LINKS

The Services may include content or links pointing to websites run by other parties, including embedded third-party features. We are not responsible for reviewing or vouching for the accuracy of that outside material. If you choose to leave the Services to visit such sites, you do so at your own risk.

We are not liable for any loss or harm connected to third-party websites or to anything you buy or use from them. Please read those third parties' policies before dealing with them, and direct any questions or complaints about their products or services to them directly.

SECTION 9 – RELATIONSHIP WITH SHOPIFY

Sale by Dale is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our Store are made directly with Sale by Dale. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Sale by Dale, including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with Sale by Dale.

SECTION 10 – PRIVACY POLICY

Any personal information gathered through the Services is governed by our Privacy Policy, and some of it may also fall under Shopify's own Privacy Policy. By using the Services, you confirm you have read these. Because the Services are hosted on Shopify, Shopify collects and handles information about your use of the Services in order to run and improve them, and what you submit may be shared with Shopify and with partners that could be located in countries other than yours. SECTION 11 – FEEDBACK

If you send us ideas, suggestions, reviews, proposals or any other content ("Feedback"), you grant us a perpetual, worldwide, sublicensable, royalty-free license to use, reproduce, adapt, publish, distribute and display it in any medium and for any purpose, including commercial use — for example, to run, evaluate and promote the Services.

You also confirm that (i) you hold all rights to your Feedback, (ii) you have disclosed any compensation or incentive tied to it, and (iii) it complies with these Terms. We are under no obligation to keep Feedback confidential, to pay for it, or to respond to it.

We may — though we do not have to — monitor, edit or remove Feedback we consider unlawful, offensive, defamatory, obscene or otherwise objectionable, or that infringes anyone's rights or these Terms. You agree your Feedback will not violate any third party's rights, will not be defamatory, abusive or unlawful, and will not carry viruses or malware. You may not disguise the origin of your Feedback or impersonate anyone. You alone are responsible for what you submit, and we take no responsibility for Feedback posted by you or others.

SECTION 12 – ERRORS, INACCURACIES AND OMISSIONS

Occasionally the Services may contain typos, inaccuracies or gaps relating to product descriptions, pricing, promotions, shipping charges, delivery times or availability. We reserve the right to correct any such errors and to change information or cancel orders when something is inaccurate, at any time and without prior notice — even after an order has been submitted.

SECTION 13 – PROHIBITED USES

You may use the Services only for lawful purposes. You must not use them, directly or indirectly: (a) for any unlawful or malicious aim; (b) to break any applicable law, rule or regulation; (c) to infringe our intellectual property or that of others; (d) to harass, abuse, defame, threaten or harm any person; (e) to submit false or misleading information; (f) to upload or reuse material that breaches these Terms; (g) to send spam, chain letters or unsolicited promotional material; (h) to impersonate any person or entity; or (i) to interfere with anyone else's use of the Services or to expose Sale by Dale, Shopify or other users to harm or liability.

You also agree not to: (a) introduce viruses or malicious code; (b) reproduce, resell or exploit any part of the Services; (c) collect other people's personal data; (d) spam, phish, spider, crawl or scrape; or (e) bypass or interfere with the security features of the Services or any related site. We may suspend, disable or close your account at any time, without notice, if we believe you have breached these Terms.

SECTION 14 – TERMINATION

We may end this agreement or your access to the Services at any time, at our discretion and without notice, and you will remain responsible for any amounts owed up to and including the termination date.

The following sections survive termination: Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver; Entire Agreement, Assignment, Governing Law, Privacy Policy, and any other provision that by its nature should continue.

SECTION 15 – DISCLAIMER OF WARRANTIES

Any information provided through the Services is offered for general purposes only. We do not warrant that it is accurate, complete or useful, and any reliance you place on it is at your own risk. We disclaim responsibility for reliance placed on such material by you or anyone else.

Except where we expressly state otherwise, the Services and all products offered through them are provided "as is" and "as available," without any representation, warranty or condition of any kind, whether express or implied — including implied warranties of merchantability, fitness for a particular purpose, durability, title and non-infringement. We do not guarantee that your use of the Services will be uninterrupted, secure, timely or error-free. Where a product carries a separate manufacturer's warranty, that warranty is provided by the manufacturer, not by us.

SECTION 16 – LIMITATION OF LIABILITY

To the fullest extent allowed by law, Sale by Dale and our partners, directors, officers, employees, affiliates, agents, contractors, service providers and licensors — and those of Shopify — will not be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special or consequential damages of any kind, including lost profits, lost revenue, lost data or replacement costs, whether based on contract, tort (including negligence), strict liability or otherwise, arising from your use of the Services or any product bought through them, even if the possibility of such damages was known.

SECTION 17 – INDEMNIFICATION

You agree to indemnify, defend and hold harmless Sale by Dale, Shopify and our affiliates, partners, officers, directors, employees, agents, contractors, licensors and service providers against any loss, damage, liability or claim, including reasonable legal fees, brought by a third party and arising from (1) your breach of these Terms or the documents they incorporate, (2) your violation of any law or of a third party's rights, or (3) your use of the Services.

We will notify you of any claim covered by this indemnity, though a delay in doing so will not release you from your obligations unless it materially prejudices you. We may take control of the defense and settlement of such a claim at your expense, including the choice of counsel, but we will not agree to a settlement that imposes non-monetary obligations on you without your consent, which will not be unreasonably withheld. You agree to cooperate in the defense, including by supplying relevant documents.

SECTION 18 – SEVERABILITY

If any provision of these Terms is found unlawful, void or unenforceable, that provision will still be applied as far as the law permits, and the unenforceable part will be treated as removed without affecting the validity of the remaining provisions.

SECTION 19 – WAIVER; ENTIRE AGREEMENT

Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.

These Terms, together with any policies or operating rules we post, form the entire agreement between you and us regarding your use of the Services, and they replace any earlier agreements or understandings, whether spoken or written, including previous versions of these Terms. Any ambiguity will not be read against us as the drafter.

SECTION 20 – ASSIGNMENT

You may not delegate, transfer or assign this agreement or your rights or obligations under it without our written consent, and any attempt to do so is void. We may assign or transfer these Terms and our rights and obligations freely, without your consent or notice.

SECTION 21 – GOVERNING LAW

These Terms and any related agreements under which we provide the Services are governed by, and interpreted in accordance with, the laws applicable where Sale by Dale (BERUDO GROUP SPAIN S.L.) is established, and you and Sale by Dale consent to the jurisdiction and venue of the competent courts there.

The headings in this agreement are for convenience only and do not affect the meaning of these Terms.

SECTION 23 – CHANGES TO TERMS OF SERVICE

You can always find the latest version of these Terms on this page. We may update, change or replace any part of them at our discretion by posting the revised version to our website, and it is your responsibility to check back periodically. We will give notice of material changes as required by law, and those changes take effect on the date stated in the notice. Continuing to use the Services after changes are posted means you accept them.
